MEMBERSHIP AGREEMENT

This is the agreement where we all agree on conduct and other things that become necessary when a large group come together to work in a shared space. We are new to this so we welcome your suggestions on how to make the space and the rules better for everyone. This document is based on the agreement of theCO of Jackson Tennessee as a starting point and we will change it over time as we all learn together.

CoSolve Inc. was created to foster and support a coworking community by providing its members with space, tables, phone rooms, chairs, Internet connectivity, a collaborative community, and other resources (known as, the “CoSolve Stuff”). By joining CoSolve, our members agree to certain rules for our community (“Rules of CoSolve” or “Rules”). The goals of a community such as CoSolve are to help each of us work smarter, learn more and get our mutual stuff done, so we should be considerate of each other, play well together and follow the Rules of CoSolve. If one of us doesn’t follow the Rules, it affects all of us, and as a condition to membership, we each agree to abide by this Membership Agreement (“Agreement”).

Any questions about this Agreement or any rules not covered here, should be addressed by email to support@cosolve.co. Otherwise, here are the Rules of CoSolve, which all members, including you, agree to:

1. Conduct

Behave well and treat others the way you would want to be treated. Keep in mind that people who are annoyed or offended may not tell you so directly, but instead engage less with CoSolve, which hurts everybody.

At the staff’s discretion, or upon notice from other members, disruptive or abusive language or behavior will result in a warning and a mark against your membership (a “strike”). On the third strike, your membership will be revoked. Your membership may be revoked prior to the third strike upon the sole discretion of the staff.

These are the general rules we ask you to abide by:
a. Respect the space and leave it as you find it. if you move things around, then return them to their original spot and please tidy up after yourself.

b. Indoor voice. We are all trying to get work done, so try to be mindful and respectful of others’ attention and time. Generally, if someone has their headphones on, please respect their privacy. CoSolve is not a library, and collaboration is encouraged, but this is a workplace, first and foremost.

c. Phone calls. If you have a phone call and it will last just a minute or two, feel free to take it in the common areas. If you are going to be on the phone for more than that, please use the Phone Rooms. Currently 1 is located on the 3rd floor and there are 5 on the 2nd floor.

d. Harassment. We have zero tolerance for harassing our members or guests of CoSolve. Members or guests violating the anti-harassment Policy will be sanctioned or expelled from the space or the event at the discretion of the staff.

CoSolve is dedicated to providing a harassment-free experience for everyone, regardless of gender, gender identity and expression, sexual orientation, disability, physical appearance, body size, race, or religion. We do not tolerate harassment of people at our events or space in any form.

Harassment includes:

  • Offensive verbal comments
  • Sexual images in public spaces
  • Deliberate intimidation
  • Stalking
  • Following
  • Photography or recording without consent
  • Sustained disruption of talks or other events
  • Inappropriate physical contact
  • Unwelcome sexual attention

Any activity interpreted by CoSolve as harassment

e. Guests. Feel free to invite friends or guests for lunch, a quick meeting, or just to say hello. However, if your guest is going to be here for more than 2 hours we would ask that they pay for a day pass. Guests are required to adhere to the Rules of CoSolve.

f. Children and Pets. Children under 13 and all pets are not allowed in the building without the approval of staff.

g. Desk use. Premium Member: you have access to the Premium desks. You also have the benefit of a private locker to hold your personal items. Do not share your key.

Business Member: You have access to all work tables except the Premium desks. Please do not leave property on the desks or around the desks when you will not be working there that day. Take home what you bring in, or know that it will go in the Lost & Found.

h. Refrigerator. The refrigerator is primarily for storing that day’s food, beverages, and some occasional leftovers from events. As a general policy, food that is older than one week and taking up space will be thrown out. Containers or food left in the refrigerator may be thrown out at any time at the discretion of the staff. Labeling (and dating) your food will help us at least give you a heads up.

h. Alcohol policy. It is fine to relax with a drink, but we do not tolerate intoxication at the space. Be mindful, too, that your “quitting time” may not match up with everybody else’s schedule. Underage drinking is not tolerated and will result in immediate cancellation of membership.

i. Overnight use. We understand that our members may need to pull a late night of work every now and again. However, under no circumstances is sleeping at the space overnight allowed.

j. Heat & air conditioning. We set the heat and air conditioning on a schedule that makes sense for most people. Please do not alter the thermostats. If the heat or air conditioning do not seem to be working, please notify staff.

k. Meeting Rooms: please keep these for small meetings and refrain from working out of them solo.

Business Members receive 4 hours of time per month in all meeting rooms.  Day members can book and pay for conference room time by logging into your account on cosolve.app.proximity.space

2. Community

Believe in yourself, believe in others, and especially believe in the collaborative power of CoSolve’s community. Network. Collaborate. Work hard. Solve wicked Problems. Have fun. Improve CoSolve for all. Give the staff input to make CoSolve better. And if this isn’t your sort of thing, see 1. Conduct. Don’t join CoSolve because you are only interested in selling to its members. That includes multi-level marketing or promoting “get rich quick” schemes that are so popular on the web today; it’s not what we are about, so don’t bring it here. Violations of this will result in a strike.

3. Changes

We will do our best to notify members of changes to the Rules and this Agreement. We will strive to keep an up-to-date copy of this agreement posted or on our website.

4. Fees

We collect fees for monthly memberships, day passes, conference rooms and event space through credit card billing. If you believe you have been billed in error, you should contact the staff before disputing the charge with your card company (they are usually easy to solve). You are expected to pay for services up front.

Membership is paid monthly or yearly and to cancel membership, please ask a staff member to help you cancel.

5. Termination

See section 1. Conduct for reference to what actions could lead to termination of your membership. Beyond those day-to-day rules, you agree not to use CoSolve for any purpose that is unlawful, prohibited, or that could damage, disable or impair any of the CoSolve’s Stuff, or keep other members from using CoSolve’s Stuff, or that would hurt CoSolve as an ongoing business. This also means you won’t attempt to gain access to any computer systems or networks of CoSolve (beyond general web access), or attempt to obtain any materials or information not intentionally made available to all members. If you attempt to do any of these bad things, then forget about the three strikes under Rules of CoSolve No. 1, as your membership may be terminated immediately.

6. Connections
You also agree not to use CoSolve in connection with:

a. Contests, pyramid schemes, chain letters, junk email, spamming or similar annoying behavior; b. Defaming, abusing, harassing, threatening or otherwise violating the legal rights (such as privacy and publicity) of others; c. Posting, distributing or disseminating inappropriate, profane, defamatory, obscene, indecent, or unlawful material or information; d. Uploading, reproducing, using, performing or otherwise making available, images, software or other material or information which infringes another’s rights, or is protected by intellectual property laws where you don’t own or license such rights; and e. Uploading or using files that contain viruses, corrupted files, or any other similar software or programs that may damage the computers or property of CoSolve or another member.

8. Confidences

You acknowledge that during your membership at CoSolve, you are going to be exposed to CoSolve Confidences. “CoSolve Confidences” means information (such as business information, trade secrets, technology, customers and prospects, and other secret stuff) disclosed by CoSolve or by other members of CoSolve (including through your keen observation) that is confidential or proprietary in nature and simply just not known by others. It’s plain and simple - you agree to keep confidential and not to disclose or use CoSolve Confidences, you understand that they remain the exclusive property of whomever disclosed them, and you don’t acquire any rights to such Confidences. If there are any problems with this, please contact a staff member or email support@cosolve.co.

9. Complaints

Please don’t make defamatory or disparaging comments about CoSolve or other members. Frankly, if you don’t have anything good to say, then keep it to yourself or let a staff member know about it. We can probably fix it or at least talk about it.

10. Liability
Neither CoSolve nor its members will assume any liability to you with respect to your access to, participation in, use of CoSolve or CoSolve Services, or any loss of information or other property resulting from such participation or use. Basically, if you leave stuff here and it disappears, we are not liable (but we will certainly look into how it happened and work to prevent such losses).

CoSolve will not assume liability for damages or injuries to clients, guests, or other parties that members may invite to CoSolve. As a user, you might decide to carry a Renters Insurance Policy to cover your own equipment while using our space and any other insurance you deem necessary or desirable.

11. Photography & Quote Statement Release

To advance CoSolve and its role in the community, CoSolve regularly utilizes images and/or quotes/statements of CoSolve’s programs, facilities, and tenants to feature in marketing and promotional materials. Your image and/or quote/statements/participation may be used in print and electronic media for CoSolve, including but not limited to CoSolve’s website, newsletters, press releases, and brochures. As such, you authorize CoSolve to use your image and or quote/ statement for any use CoSolve deems appropriate in the promotion and marketing of CoSolve. You understand that your quote/statement may be edited but will continue to reflect your original meaning. You understand that your name, credentials and company information may be identified. You fully discharge CoSolve from any and all claims, monetary and otherwise, arising out of the use of your quote/statement. By signing the end of this agreement, you give permission to CoSolve to use your photograph, image, and/or quote/statement as described above.

12. Disclaimer

Legal types ask that the following sections be CAPITALIZED, which means you’re really supposed to pay attention (frankly, you’re supposed to pay attention to ALL these Rules of CoSolve). Here goes:

a. COSOLVE PROVIDES SERVICES “AS IS” AS A SERVICE AND NOT AS A LEASE OF REAL PROPERTY, AND DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR USE, TO THE

EXTENT PERMITTED BY LAW. OH YEAH, THERE IS ALSO NO WARRANTY OF TITLE, QUIET ENJOYMENT OR POSSESSION. THE ENTIRE RISK OF PARTICIPATING IN OR USING CoSolve SERVICES, REMAINS WITH YOU.

b. IN NO EVENT SHALL COSOLVE OR ITS AGENTS, OWNERS, MEMBERS, OR EMPLOYEES BE LIABLE FOR ANY DIRECT, SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, CONSEQUENTIAL OR OTHER DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOST PROFITS, LOSS OF CONFIDENTIAL OR OTHER INFORMATION, BUSINESS INTERRUPTION, PERSONAL INJURY, LOSS OF PRIVACY, FAILURE TO MEET ANY DUTY (INCLUDING OF GOOD FAITH OR OF REASONABLE CARE), NEGLIGENCE, AND ANY OTHER LOSS) ARISING OUT OF OR IN ANY WAY RELATED TO COSOLVE’S SERVICES OR OTHERWISE, TO THE EXTENT PERMITTED BY LAW.

13. Indemnification

Besides all that CAPITALIZED stuff in 12. Disclaimer, you also release, and agree to indemnify, defend and save harmless CoSolve, its agents, owners, members and employees, from and against all claims, liabilities, losses, damages, expenses, judgments, fines and penalties based on or arising out of your negligent actions, errors and omissions, willful misconduct or fraud, breach or violation of the Rules of CoSolve or otherwise suffered in connection with your participation in CoSolve or use of CoSolve’s Services.

14. Consent

Take note that you can’t assign this Agreement without the prior written consent of CoSolve. Since CoSolve is situated in the City of Longmont, we all agree that the law of the State of Colorado governs this Agreement. And we further agree that exclusive jurisdiction and venue for all purposes under this Agreement shall be in Boulder County and everybody consents to such jurisdiction and venue. Finally, in the highly unlikely event that any provision or portion of this Agreement is determined to be invalid, illegal or unenforceable for any reason, in whole or in part, the remaining provisions of this Agreement shall be unaffected and shall remain in full force and effect to the fullest extent permitted by law.

I acknowledge that I have read and understand this Agreement and the rules of CoSolve.

Further, I agree to be bound by this Agreement and the Rules of CoSolve regarding my participation in CoSolve and the use of CoSolve Services. Please print legibly.

This Master Privacy Policy (“Privacy Policy”) explains the collection, use, and disclosure of “personal information” by CoSolve Inc., a Colorado Corporation. Unless otherwise noted on a particular site or service, this Privacy Policy applies to your use of all websites that CoSolve operates, as well as the products, information, and services provided through the Websites. This Privacy Policy does not apply to any of the websites operated by affiliates of CoSolve.

In addition, supplemental Privacy Policy terms (“Supplemental Privacy Policy Terms”) may apply to a particular Service. All such Supplemental Privacy Policy Terms will be accessible for you to read either within, or through your use of, that particular Service.

This Privacy Policy also explains our commitment to you with respect to our use and disclosure of non personal browsing and site usage data that CoSolve collects as the provider of the Services. That commitment is contained in a “Data Usage Policy,” below.

As used in this policy, “personal information” means information that would allow a party to identify you such as, for example, your name, address or location, telephone number, or email address.

By accessing or using any of the Services, you are accepting and agreeing to the practices described in this Privacy Policy.

Our Principles
CoSolve is committed to handling responsibly the information and data we collect about you through our Services, whether personal information or non personal browsing and site usage data. We have designed our Privacy Policy and our Data Usage Policy consistent with the following principles (the “Principles”):

Privacy policies and data collection and use policies should be human readable, comprehensive, and easy to locate;
Only the minimum amount of information reasonably necessary to provide you with services should be collected and maintained, and only for so long as reasonably needed or required; Information you provide through our Services, or that we gather as a result of your use of our Services, should not be used for marketing or advertising purposes, nor should it be provided voluntarily (without your permission) to anyone else unless required; and If CoSolve is required to provide a third party with your personal information (whether by subpoena or otherwise), then provided we have collected and retained an email address for you, CoSolve will use reasonable means to notify you promptly of that event, unless prohibited by law or CoSolve is otherwise advised not to notify you on the advice of legal counsel.

Personal Information CoSolve Collects
We may collect personal information through our Services, including without limitation:

when you provide us with your personal information such as by sending an email to us or signing up to receive updates from CoSolve;
when you subscribe to one of our email discussion lists;
when you donate money to us or purchase merchandise;
when you create a CoSolve account;
when you join and use the CoSolve network through our Website; and
when you provide personal information in connection with your participation in any of the forums we make available through our Services.

What CoSolve Does with Personal Information
Emails and Newsletters. We use the personal information you provide to us when you send us emails or sign up to receive updates from CoSolve in order to respond to your request – for example, to reply to your email or to send you communications about CoSolve news and campaigns.

Events: If you sign up for an event hosted or run by CoSolve, we may share your personal information with vendors and third party contractors solely for the purpose of organizing and running the event.

Billing: We use the personal information to confirm billing identity and to carry out collection operations.

Participating in Our Community
Registered Users. When you register to obtain a user account on any of the Services (any such person, a “Registered User”), you may be asked to provide personal information to create your account and establish a password and profile. We use that personal information to establish and maintain your account, to provide you with the features we provide Registered Users, and to email you regarding changes to this policy or other applicable policies. If you sign up to receive updates from CoSolve when you create your account, we will use your personal information to send you communications about CoSolve news and campaigns.

Any other personal information that we may collect which is not described specifically in this Privacy Policy will only be collected and used in accordance with the Principles.

Disclosures of Personal Information
In general, it is not CoSolve practice to disclose personal information to third parties. We may share your personal information in two instances:

First, CoSolve may share personal information with our contractors and service providers in order to maintain, enhance, or add to the functionality of the Services, or to organize and run an event you signed up to attend.

Second, we may disclose your personal information to third parties in a good faith belief that such disclosure is reasonably necessary to (a) take action regarding suspected illegal activities; (b) enforce or apply our Master Terms of Use and Privacy Policy; (c) comply with legal process, such as a search warrant, subpoena, statute, or court order; or (d) protect our rights, reputation, and property, or that of our users, affiliates, or the public.

If CoSolve is required to provide a third party with your personal information (whether by subpoena or otherwise), then provided we have collected and retained an email address for you, CoSolve will use reasonable means to notify you promptly of that event, unless prohibited by law or CoSolve is otherwise advised not to notify you on the advice of legal counsel.

Security of Personal Information Collected via the Services
CoSolve has implemented reasonable measures to protect against unauthorized access to and unlawful interception or processing of personal information that CoSolve stores and controls. However, no website can fully eliminate security risks. Third parties may circumvent our security measures to unlawfully intercept or access transmissions or private communications. We will post a reasonably prominent notice to the Websites if any such security breach occurs.

All account systems have security risks in addition to those described above. Among other things, such systems are vulnerable to DNS attacks, and include the risk of phishing.

Data Usage Policy: Non Personal Browsing and Site Usage Information
Our Data Usage Policy covers how we maintain and use information about you that is collected by our Services, including when you log into a website.

Non Personal Browsing Information We Collect

When you use the Services, our servers (which may be hosted by a third party service provider) may collect information indirectly and automatically (through, for example, the use of your “IP address”) about your activities while visiting the Websites and information about the browser you are using. In addition, whenever you log into our website, our servers (which, again, may be hosted by a third party service provider) keep a log of the websites you visit and when you visit them.

No Linking
We do not intentionally link browsing information or information from our server logs to the personal information you submit to us. We use this information for internal purposes only, such as to help understand how the Services are being used, to improve our Services, and for systems administration purposes. CoSolve may use a third party analytics provider to help us collect and analyze non personal browsing information through operation of our Services for those same purposes.

No Selling or Sharing
Except in the unique situations identified in this Privacy Policy, CoSolve does not sell or otherwise voluntarily provide the non personal browsing information we collect about you or your website usage to third parties.

Notice
If CoSolve is required to provide a third party with your non personal browsing information or to log in on behalf of a user (whether by subpoena or otherwise), then CoSolve will use reasonable means to notify you promptly of that event, unless CoSolve is prohibited by law from doing so or is otherwise advised not to notify you on the advice of legal counsel.

Any other non-personal information that we collect which is not described specifically in this Privacy Policy will only be collected and used in accordance with the Principles.

Reorganization or Spin-Offs
CoSolve may transfer some or all of your personal and/or non personal browsing information to a third party as a result of a reorganization, spin-off, or similar transaction. Upon such transfer, the acquirer’s privacy policy will apply. In such event, CoSolve will use reasonable efforts to notify you and to ensure that at the time of the transaction the acquirer’s privacy policy complies with the Principles.

Children
The Services are not directed at children under the age of 13. Consistent with the federal Children’s Online Privacy Protection Act of 1998 (COPPA), we will never knowingly request personal information from anyone under the age of 13 without requiring parental consent. Our Master Terms of Use specifically prohibit anyone using our Services from submitting any personally identifiable information about persons under 13 years of age. Any person who provides their personal information to CoSolve through the Services represents that they are 13 years of age or older.

Third-Party Sites
The Services may include links to other websites. You should consult the respective privacy policies of these third-party sites. This Privacy Policy does not apply to, and we cannot control the activities of, such other websites.

Special Note to International Users
Some Services are hosted in the United States and the United Kingdom. Please note that your personal data may be located on servers in the United States and/or the United Kingdom. By providing your personal data you consent to the use of your personal data for the uses identified above in accordance with the Privacy Policy.

Changes and Updates to this Privacy Policy
We may occasionally update this Privacy Policy. When we do, we will also revise the Effective Date below. We encourage you to periodically review this Privacy Policy to stay informed about how we are protecting the personal information we collect. Your continued use of the Services constitutes your agreement to this Privacy Policy and any updates.
